Eligibility
To register for and use the Services, you must meet the following eligibility requirements at the time of Enrollment and throughout your use of the Services:
Age: You must be at least 18 years of age. Users between the ages of 13 and 17 may access Services only with the documented consent of a parent or legal guardian, who accepts these Terms on the minor's behalf and assumes full responsibility for the minor's use of the Services.

Not previously suspended: You must not have been previously suspended or removed from any Company Service for cause.
The Company reserves the right to verify eligibility and to deny or revoke access at its sole discretion. Services are intended primarily for individuals in the United States. Users accessing Services from outside the United States do so at their own risk and are responsible for compliance with local laws.
User Accounts & Registration
Accessing courses through the Company's Platform requires creating a student account on Thinkific ("Account"). Your Account is the credential through which you access all enrolled courses, downloaded materials, community features, and certificates. By creating an Account, you agree to the following:
Accurate information: You will provide your real name, a valid email address, and any other required information truthfully during Thinkific account registration. This information must match the name you wish to appear on any Certificate of Completion.
Account security: You are solely responsible for maintaining the confidentiality of your Thinkific login credentials, including your email and password. You agree not to share your login credentials, magic-link enrollment emails, or course access URLs with any third party.
Single-user access: Each Account is created for and may only be used by one individual. The Thinkific platform tracks login sessions and course progress per user. Sharing Account access with others including for simultaneous or group viewing of course content — is prohibited unless explicitly authorized in writing by the Company for an Organizational Client arrangement.
Unauthorized access: You will promptly notify the Company at tracey@tmassociatesllc.com if you become aware of any unauthorized access to or use of your Account. You should also report suspected unauthorized access to Thinkific through their support portal.
Responsibility: You are responsible for all activity that occurs under your Account, whether or not authorized by you. The Company is not liable for any loss or damage arising from your failure to maintain the security of your Account credentials. Do not use the same password for your Company Account that you use for other services.
Course Enrollment & Access: Upon successful Enrollment and, where applicable, payment, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the specific Content associated with the course, program, or workshop for which you have enrolled, subject to the terms of this Agreement. All course delivery occurs through the Company's Thinkific-powered Platform unless otherwise specified.
Thinkific account. Accessing courses through the Platform requires creating a student account on Thinkific. You may be prompted to create or log into a Thinkific account as part of the enrollment process. Your Thinkific account is subject to Thinkific's own Terms of Service and Privacy Policy in addition to this Agreement. The Company is not responsible for Thinkific's account policies, system outages, or changes to Thinkific's platform features.
Access periods. Access to online course Content through the Platform is provided on a lifetime-access basis unless otherwise stated at the time of Enrollment. "Lifetime access" means access for as long as the Company maintains the course on the Thinkific Platform. The Company does not guarantee indefinite availability of any specific course and reserves the right to retire, update, or migrate Content. In the event a course is retired, reasonable advance notice will be provided to enrolled students where practicable.
Thinkific platform availability. Course access depends on the continued operation of the Thinkific Platform. The Company is not liable for any interruption, outage, or technical issue attributable to Thinkific's infrastructure, and makes no warranty regarding Thinkific's uptime or feature availability. Scheduled or unscheduled Thinkific maintenance may temporarily affect course access.
Live sessions. Enrollment in a live workshop, webinar, or coaching session grants access to that specific session only. Live sessions may be hosted through Thinkific's built-in live session tools or through supplemental platforms such as Zoom. Recordings of live sessions, where made, are distributed solely at the Company's discretion and may be made available through the Platform. The Company is under no obligation to provide recordings of live sessions.
Downloadable materials. Course Content may include downloadable workbooks, worksheets, templates, and other supplemental materials. Downloads are provided for your personal educational use only. All downloaded materials remain subject to the intellectual property protections in Section 7.
No transfer of enrollment. Enrollment in any Service is personal to you and may not be transferred, gifted, sublicensed, or sold to another individual without prior written consent of the Company.
Organizational access. Organizational Clients who have executed a separate written agreement with the Company may designate authorized employees or members for enrollment. Group enrollments are managed through the Company's Thinkific account administration tools. Seat limits are as specified in the applicable organizational agreement.
The Company reserves the right to modify, supplement, update, or discontinue any course, program, or workshop, including its content, schedule, format, delivery method, or Platform, at any time. Where material changes affect enrolled Users, reasonable notice will be provided by email to the address associated with your Thinkific student account.
Fees, Payment & Refund Policy
Fees. The fees for each Service are disclosed at the point of enrollment on the Platform or in the applicable program description. All fees are stated in U.S. dollars unless otherwise specified. The Company reserves the right to adjust fees for future enrollments at any time without prior notice. Fees for already-enrolled Users will not be changed retroactively.
Payment processing. All payments for Services are processed through the Thinkific Platform's integrated payment system, which is powered by Stripe. By submitting payment through the Platform, you also agree to Stripe's terms of service. The Company does not store your full payment card details — these are handled securely by Stripe on behalf of Thinkific. The Company accepts credit cards and any other payment methods made available through the Thinkific checkout at the time of purchase. Payment plans, where offered, are configured through the Platform and charged automatically on the schedule disclosed at checkout.
Taxes. You are responsible for all applicable taxes, duties, or levies imposed by any governmental authority in connection with your purchase of Services, except for taxes on the Company's net income. Thinkific Commerce may calculate and collect applicable sales tax where required by law.
Coupons and promotions. The Company may offer discount codes or promotional pricing through the Platform from time to time. Promotional offers are subject to their stated terms and expiration dates, are non-transferable, and may not be combined with other offers unless stated. The Company reserves the right to discontinue or modify promotional pricing at any time.
Refund Policy. Because the Company owns the student relationship on the Thinkific Platform — unlike marketplace platforms — all refund requests are handled directly by the Company as follows:
Online self-paced courses: Refund requests made within 7 calendar days of enrollment and before more than 20% of course content has been accessed (as tracked by the Platform) will be honored in full. After this window, no refunds will be issued for self-paced online courses. Course progress data visible in your Thinkific student dashboard is the official record of content accessed.
Bundles and course packages: Refunds for course bundles are available within 7 days of purchase if fewer than 20% of total bundle content has been accessed across all included courses. Partial refunds for individual courses within a bundle are not available.
Live workshops and webinars: Cancellations made more than 72 hours before the scheduled start time will receive a full refund or, at the User's election, a credit applicable toward a future session. Cancellations within 72 hours of the session are not eligible for a refund but may be eligible for a one-time transfer to a future session of the same program, subject to availability.
Coaching and consulting sessions: Sessions cancelled more than 48 hours in advance may be rescheduled at no charge once. Cancellations within 48 hours will forfeit the session fee.
Payment plans: If you enrolled under a payment plan and wish to cancel, you remain responsible for all installments already charged. Future installments will be cancelled upon written request, but no refund will be issued for prior payments.
Organizational engagements: Refund and cancellation terms for Organizational Clients are governed by the separate written agreement between the Company and the Organizational Client.
All refund requests must be submitted in writing to tracey@tmassociatesllc.com with the subject line "Refund Request — [Course Name]" and must include your full name, the email address associated with your Thinkific account, your enrollment date, and the reason for your request. The Company will review your Thinkific progress data and process eligible refunds within 10 business days of approval. Approved refunds are returned to the original payment method via Stripe.

Michelle & Associates, LLC, or are licensed to the Company for use in the Services. All rights are reserved.
Your license. Subject to your compliance with these Terms, the Company grants you a limited, personal, non-exclusive, non-transferable, revocable license to access and view the Content solely for your own personal, non-commercial educational purposes during the applicable access period.
What you may NOT do. Without the prior written consent of the Company, you may not:
Copy, reproduce, distribute, publish, broadcast, or publicly display any Content in any format or medium;

Use the Company's name, logo, CFEI® credential, or any associated branding in any way that implies endorsement or affiliation without prior written authorization.
Unauthorized reproduction, distribution, or commercial use of any Content is a material breach of this Agreement and may constitute copyright infringement subject to civil and criminal penalties under applicable law. The Company actively monitors for and pursues enforcement against unauthorized use of its intellectual property.
User-submitted content. If you submit feedback, testimonials, questions, or other content in connection with the Services ("User Submissions"), you grant the Company a perpetual, royalty-free, worldwide, irrevocable license to use, reproduce, display, modify, and distribute your User Submissions in connection with the promotion and operation of the Services. You represent that you own or have the right to submit all User Submissions and that they do not infringe any third-party rights.
Prohibited Conduct
In connection with your use of the Services, you agree not to engage in any of the following:
Misrepresentation: Providing false, misleading, or incomplete information during registration, enrollment, or any interaction with the Company or its representatives;
Account sharing: Sharing login credentials or access with individuals who have not enrolled or for whom no separate seat has been authorized;
Harassment: Engaging in abusive, threatening, harassing, defamatory, discriminatory, or otherwise inappropriate conduct toward Company personnel, facilitators, or other participants in any live session or community forum;
Disruption: Disrupting or interfering with live sessions, webinars, or online course environments, including spamming, excessive interruptions, or the use of recording tools without prior authorization;
Fraud: Attempting to obtain Services without proper payment, including by chargebacks not based on legitimate disputes, use of fraudulent payment instruments, or exploitation of technical errors;

Violation of any provision of this Section is grounds for immediate termination of access to all Services without refund.

The Company may share aggregate, anonymized data for research, marketing, or reporting purposes. Thinkific as data processor. Because the Services are delivered through Thinkific, certain personal data — including your name, email address, course progress, quiz results, and payment records is stored and processed by Thinkific on the Company's behalf. Thinkific acts as a data processor under the Company's instruction. Exercise discretion regarding personal information you share in community spaces.
Retention. The Company retains personal information for as long as your Thinkific student account is active and for a reasonable period thereafter as required by law or for legitimate business purposes. To request deletion of your personal data, contact tracey@tmassociatesllc.com. Note that deletion requests may be subject to limitations under Thinkific's own data retention obligations.

No guarantee of outcomes: The issuance of a certificate does not guarantee any particular employment, financial, or professional outcome.
Revocation: The Company reserves the right to revoke or decline to issue a certificate if there is evidence of academic dishonesty, violation of these Terms, or misrepresentation in connection with course completion.
Accuracy: You are responsible for ensuring that your name and any other identifying information associated with your Account is accurate, as this information will appear on any certificate issued.

Informal resolution. Before initiating any formal legal proceeding, you agree to contact the Company in writing at tracey@tmassociatesllc.com to describe the nature of the dispute and the relief sought. The parties agree to make a good-faith effort to resolve the dispute informally within thirty (30) days of the Company's receipt of such notice.
